Siemens Mobility has announced it will acquire a number of key businesses of the MERMEC Group, an Italian company specialising in railway signalling, electrification, diagnostics and measurement technologies.

The transaction will seek to strengthen Siemens’ international rail portfolio, with a particular focus on diagnostics and measurement technologies whilst expanding its signalling activities, industrial footprint and Italian market access.

All parties have agreed not to disclose the financial terms of the transaction, which is still subject to customary conditions and expected by the end of 2026.

This step expands our industrial footprint in Italy within our world-leading signalling business and significantly enhances our global diagnostics portfolio.

With this acquisition, Siemens has stated it will utilise its expertise in urban signalling, alongside MERMEC’s presence within Italy’s mainline railway infrastructure, to support both the modernisation and digitalisation of the national rail network across the country, offering the former’s customers an expanded service offering combining its asset intelligence and diagnostics capabilities (onboard and depot‑based) with MERMEC’s advanced portfolio of diagnostic vehicles equipped with measurement systems and software for railway infrastructure inspection.

All MERMEC employees, development sites and industrial capabilities will form part of Siemens Mobility’s global ecosystem, which includes the Ferrosud site in Matera, with the transaction expected to be EPS (pre-PPA) accretive by year two post-closing. It covers MERMEC’s key businesses in Italian wayside signaling, electrification, telecommunication, diagnostics, analytics, and worldwide data infrastructure, while excluding MERMEC’s investments in Angelstar S.r.l., Mont Saint Michel S.A.S. with its subsidiary Compagnie des Signaux S.A.S. and MERMEC Deutschland.
